Guarantees

ASC 460 tells a guarantor how to account for guarantees, and its core insight is that a guarantee contains two obligations: a noncontingent "stand-ready" obligation to perform over the term of the guarantee and a contingent obligation to make payments if triggering events occur. Under 460-10, the guarantor recognizes a liability at inception for the stand-ready obligation measured at fair value (the premium received in a standalone arm's-length transaction is a practical expedient), even when payment is not probable, with the liability being the greater of that fair value and any loss accrual required by Section 450-20-30; the liability is later reduced as the guarantor is released from risk. Even guarantees exempt from recognition (product warranties, derivatives at fair value, contingent consideration, equity-classified obligations, intercompany guarantees) must still be disclosed — nature and term, triggering events, maximum potential undiscounted future payments, carrying amount, recourse and collateral — even if the likelihood of payment is remote (460-10-50-4), and product warranties require a tabular rollforward of the aggregate warranty liability (460-10-50-8). ASC 460-954 simply applies this model to health care entities, pointing to the minimum revenue guarantee illustration for a recruited physician in 460-10-55-11.

    ASC 460-10 requires a guarantor to recognize a liability at the inception of a guarantee for the noncontingent "stand-ready" obligation it undertakes, generally measured at the fair value of the guarantee (with the premium received as a practical expedient), even if payment under the guarantee is not probable. Separate Product Warranties Subsections apply ASC 450-20 loss-accrual conditions to warranty obligations and require a tabular rollforward of the aggregate product warranty liability.
